Purpose:

Subject to the Board’s authority under the Business Corporation Act to manage or supervise the management of the business and affairs of its corporations, and to provide the Board with the Shareholder’s expectations relating to the principles of governance and other fundamental principles and policies regarding the business.
To inform the residents of the City of Welland of the Shareholder’s fundamental principles regarding the Business; and
To set out the accountability, responsibility and relationship between the Board and the Shareholder.
